Family office in Belgium: private foundations, certification and holding structures under a fast-changing wealth tax framework

Belgium has no family office statute, but it offers some of continental Europe's most used succession tools: the private foundation, certification of shares, the civil partnership (maatschap / société simple) and favourable gift tax for family businesses. Since 1 January 2026 a new capital gains tax on financial assets applies, so structures built for a Belgium without such a tax need to be reviewed.

Overview

Belgian law does not regulate family offices as such. The perimeter is set by the activities carried out. Under the Law of 25 October 2016, discretionary portfolio management and investment advice provided to clients on a professional basis require a licence as an investment firm or portfolio management and investment advice company, supervised by the FSMA and, prudentially, the National Bank of Belgium where relevant. Managing a pooled fund for outside investors brings in the AIFM Law of 19 April 2014, with full authorisation or, below the EU thresholds, FSMA registration. An office that only organises and supervises the wealth of the founding family, coordinates its banks and advisers and runs its governance generally provides no regulated service to third parties. Multi-family offices typically either hold an FSMA licence or limit themselves to coordination and reporting while discretionary management stays with licensed banks.

The traditional Belgian toolkit focuses on keeping control and family cohesion while value passes to the next generation. A holding company (SRL/BV or SA/NV) centralises the operating group, and the dividends received deduction (DBI/RDT) removes qualifying dividends from corporate tax where the holding owns at least 10% or an acquisition value of at least EUR 2.5 million for at least a year. The Programme Law of 18 July 2025 kept the EUR 2.5 million alternative but, for companies that are not small, now requires the participation to be held as a financial fixed asset with a lasting link. Above the holding, shares are often certified: a certification foundation or STAK holds legal title and votes while family members hold certificates, under the Law of 15 July 1998. The private foundation, available since 2002 and now governed by the Code of Companies and Associations, can serve as a long-term shareholder or protect a family collection, provided it pursues a disinterested purpose. For assets other than shares, many families use a maatschap / société simple with parents as statutory managers.

Taxation has shifted markedly. The Law of 6 April 2026 introduced a capital gains tax on financial assets from 1 January 2026: 10% on gains in the normal management of private wealth, with the first EUR 10,000 exempt, and a separate regime for substantial participations of at least 20% where the first EUR 1 million of gain is exempt once in five years and the rest is taxed at 1.25%, 2.5%, 5% or 10%. Gains accrued up to 31 December 2025 remain exempt through a step-up to that date's value. The annual securities account tax doubled from 0.15% to 0.30% for reference periods ending after 31 May 2026 on accounts averaging more than EUR 1 million. The Cayman tax (look-through taxation of low-taxed legal constructions, including trusts) remains, though the Constitutional Court's judgment of 18 September 2025 struck down parts of the 2023 tightening, including the narrow definition of substance.

Succession is where Belgium remains distinctive. Gift and inheritance tax is regional, with inheritance tax in direct line reaching 27% in Flanders and 30% in Brussels and Wallonia, but registered gifts of movable assets to children cost 3% in Flanders and Brussels and 3.3% in Wallonia, and qualifying family business shares can be gifted at 0% in all three regions. Unregistered gifts fall back into the estate if the donor dies within five years while resident. Children are entitled to a reserved half of the estate, and inheritance pacts can settle prior gifts. Belgium has no investor visa; executives and family office staff moving from abroad may use the inpatriate tax regime, which since 1 January 2025 gives a 35% tax-free allowance for qualifying employees earning at least EUR 70,000.

Key benefits

  • Low registered gift tax rates in direct line (3% or 3.3% on movables) and 0% for qualifying family business shares make lifetime transfers predictable
  • Private foundation and certification techniques allow founders to keep control and avoid fragmentation of a family company across many heirs
  • DBI/RDT dividends received deduction and an established holding practice support efficient group structures
  • No licence needed for a single-family office that only manages and coordinates its own family's wealth
  • Substantial participation regime: first EUR 1 million of gain exempt every five years and low progressive rates for sales of family companies
  • Step-up to 31 December 2025 values protects historic gains from the new capital gains tax
  • Central EU location with a dense network of private banks, notaries and tax counsel
03

Requirements

  • Perimeter test: confirm whether the office provides portfolio management or investment advice to anyone outside the founding family; if so, an FSMA licence under the Law of 25 October 2016 is required
  • Pooled structures: a vehicle raising capital from outside the family is likely an AIF; its manager needs an AIFM licence or FSMA registration under the Law of 19 April 2014
  • Corporate set-up: holding companies and private foundations are created by notarial deed (a private foundation can also be created by will), with articles published in the annexes to the Belgian Official Gazette and registration in the Crossroads Bank for Enterprises
  • Private foundation conditions: a disinterested purpose, no profit distribution to founders or directors, a board of at least three directors, annual accounts and the annual tax on assets of 0.15%–0.45%
  • DBI/RDT conditions: at least 10% or EUR 2.5 million acquisition value, held for at least one year, subsidiary subject to an adequate tax regime, and for non-small companies a financial fixed asset with a lasting link
  • AML/CFT under the Law of 18 September 2017: client due diligence by notaries, banks and licensed firms, source-of-wealth evidence and reporting to CTIF-CFI
  • UBO register: companies, foundations and trusts declare beneficial owners to the register kept by FPS Finance and keep the data current, with annual confirmation
  • Cayman tax: declare legal constructions (trusts, low-taxed foreign entities) in the personal tax return; income is taxed in the founder's hands unless genuine economic substance is shown
  • CRS, FATCA and DAC6: entity classification, financial account reporting and reporting of cross-border arrangements with hallmarks
  • Capital gains tax compliance from 2026: document 31 December 2025 values for unlisted shares (valuation report due by 31 December 2027), track acquisition values and choose bank withholding or self-declaration

Private foundation as long-term shareholder

Annual tax 0.15%–0.45% on assets above EUR 50,000

Single-family office management company

A separate company employing the family's own team for reporting, governance and adviser coordination. Outside the FSMA perimeter while it serves only the family; discretionary management stays with licensed banks or managers.

How Legal Wealth helps

Legal Wealth helps Belgian and internationally mobile families decide which combination of holding, certification, foundation and civil partnership tools fits their assets, their region and their family dynamics. We work alongside Belgian notaries and tax counsel, prepare the KYC and source-of-wealth file with discretion, and review existing structures against the 2026 capital gains tax, the higher securities account tax and the Cayman tax. Where the family has members or assets in the Netherlands, Luxembourg or France, we coordinate the cross-border analysis so that one plan works in every country involved. Our approach is compliance-first and built for long-term governance rather than short-term tax results.

Frequently asked questions

Does a single-family office in Belgium need a licence?

There is no family office licence. A licence under the Law of 25 October 2016 is needed only for regulated investment services such as portfolio management or investment advice to clients. An office that only organises its own family's wealth and coordinates licensed banks and managers is generally outside that perimeter.

What is a Belgian private foundation used for?

It is a legal entity without members that pursues a disinterested purpose set in its statutes, for example keeping a family company under unified control, managing a collection or supporting family members in need. It cannot distribute profits to founders or directors, pays legal entities tax and an annual tax of 0.15%–0.45% on assets above EUR 50,000, and its basic data are public.

How does the 2026 capital gains tax affect a family company sale?

For a shareholder holding at least 20%, the first EUR 1 million of gain is exempt once in five years, and the rest is taxed at 1.25% up to EUR 2.5 million, 2.5% up to EUR 5 million, 5% up to EUR 10 million and 10% above. Only gains after 31 December 2025 are taxed, and sales to a buyer outside the EEA are taxed at 16.5%.

Can family business shares be gifted tax-free?

Yes, in all three regions qualifying family business shares can be gifted at 0% gift tax, subject to conditions such as genuine economic activity and continuation. From 1 January 2026 Flanders no longer lets residential real estate and building land held by the company qualify. Inheritance of such shares is taxed at 3% in Flanders and Brussels and exempt in Wallonia.

Do Belgian residents pay tax on foreign trusts?

Under the Cayman tax, a trust is automatically a legal construction: its income is taxed in the Belgian founder's hands as if received directly, and distributions to Belgian beneficiaries are generally taxed as dividends unless an exception applies. The 2025 Constitutional Court judgment softened parts of the regime, but foreign trusts still need careful review.

Can we move to Belgium through an investment?

Belgium has no investor visa. Non-EU nationals generally need a single permit for employment or a professional card for self-employment. Family office staff and executives hired from abroad may qualify for the inpatriate regime: a 35% tax-free allowance for employees earning at least EUR 70,000, for five years, extendable by three.
