Overview
Delaware is a legal home rather than an operating base. The family office team and its regulatory status are usually located where the family lives, for example in New York, Florida, California or abroad. Its single-family office status follows the federal family office rule, Rule 202(a)(11)(G)-1. What Delaware supplies is the architecture. The Delaware LLC Act gives maximum effect to freedom of contract in the operating agreement. It permits series LLCs and makes a charging order the exclusive remedy of a member's personal creditor. A Delaware LLC pays a flat annual tax of US$300. Partnerships and statutory trusts under 12 Del. C. chapter 38 offer further options, and disputes over these entities and over trusts are heard in the Court of Chancery, a specialist equity court without juries. Delaware's 2025 corporate law amendments (SB 21) also revised the safe harbours for transactions with controlling stockholders, which is relevant to family-controlled operating companies.
Delaware trust law is a main reason families come. Delaware repealed its rule against perpetuities for personal property in 1995, so a dynasty trust holding securities or LLC interests can last indefinitely. Real property held directly remains subject to a 110-year period, which is why families hold land through entities. Under 12 Del. C. §3313, a trust instrument can appoint an investment adviser, distribution adviser or trust protector who directs the trustee. The directed trustee is not liable for following directions except for wilful misconduct and has no duty to monitor the adviser. Section 3313A allows an excluded co-trustee arrangement. The trustee's duty to inform beneficiaries can be postponed for a defined period under §3303(c) (a 'quiet' or silent trust). A designated representative can receive information on behalf of beneficiaries. Delaware also has a well-used decanting statute.
Asset protection is available under the Qualified Dispositions in Trust Act, in force since 1997. A settlor can be a discretionary beneficiary of their own trust if a qualified Delaware trustee takes part in its administration. Creditors generally must bring claims within four years of the transfer, or, for existing creditors, within one year after they discovered or could reasonably have discovered it, if later. Statutory exceptions remain. They include claims for child support, and claims of a spouse married to the settlor at or before the transfer for alimony or property division. Under a 2023 amendment, a spouse can waive those claims by an informed written consent. Courts in other states have not always applied a Delaware asset protection trust to their own residents. It should therefore be used for planning ahead of any claim, never as a response to one.
On tax, a Delaware resident trust is not taxed on income accumulated for beneficiaries who are not resident in Delaware. A trust with no Delaware beneficiaries typically pays no Delaware income tax. This supports Delaware incomplete gift non-grantor (DING) trusts, but some home states, New York in particular, tax such trusts to the grantor. The main 2026 development is the Family Trust Company Act (SB 327, signed on 13 July 2026, Volume 85, Chapter 346). It creates a regulated family trust company that serves a single family. That family is defined by relation to a designated relative and includes lineal descendants and collateral relatives within ten degrees. Capital and surplus generally may not be set above US$375,000. The company needs a principal place of business in Delaware and annual examinations, and material trust administration must take place in Delaware where Delaware law is to govern a trust. The State Bank Commissioner is to adopt implementing regulations within a year. Until then, limited purpose trust companies under 5 Del. C. §§774-777 remain the existing option.

- Trust situs: a Delaware trustee (individual resident or Delaware trust company) that takes part in administration, including custody of some assets, records, tax returns and trust decisions
- Directed trusts: the trust instrument must clearly appoint advisers and protectors and set their powers, and directed trustees must follow §3313 procedures
- Asset protection trusts: a qualified Delaware trustee; the settlor's powers kept within those the Act permits; solvency evidence and a transferor affidavit at funding
- Family trust company: certificate of authority from the State Bank Commissioner, capital and surplus as set by the Commissioner (generally not above US$375,000), at least US$1 million D&O insurance and further liability and E&O cover, a Delaware principal place of business, at least one trust officer, annual examination and annual licence fee
- Family trust company clients limited to family members of the designated relative and their trusts, estates, charities and entities, unless the Commissioner approves others
- Entity compliance: a Delaware registered agent, the annual LLC or LP tax by 1 June, and annual reports and franchise tax for corporations
- Beneficial ownership: US-formed entities are no longer required to file BOI reports under the CTA; foreign entities registered in a US state still report
- Tax filings: federal returns for each entity and trust, Delaware fiduciary returns where required, home-state filings for grantors and beneficiaries, and FATCA classification of each entity
Structure designs
Delaware directed dynasty trust
A perpetual trust with a Delaware administrative trustee, a family investment committee as investment adviser and an independent distribution adviser or protector. It suits families that want to keep the investment strategy in-house while using Delaware law and courts.
Delaware asset protection trust
A self-settled discretionary trust under the Qualified Dispositions in Trust Act with a qualified Delaware trustee. It suits principals in business or professional roles who want long-term protection planned well before any claim, and can be structured as an incomplete gift trust.
Family trust company
Capital and surplus generally capped at US$375,000
A family-owned, Commissioner-regulated trustee for the family's trusts, with family and independent members on its trust and investment committees. It suits families with many or large trusts that want control of trustee decisions within a regulated framework.
Family holding LLC with series
A Delaware LLC, often with protected or registered series by asset class or family branch, owned by trusts and managed by the family office. It suits consolidation, gifting of non-voting interests and centralised governance.
Delaware statutory trust
A trust-form entity under 12 Del. C. chapter 38 with contract-based governance and limited liability. It suits pooled family investment vehicles, real estate and situations where a trust form is preferred over an LLC.
Step-by-step process
- 1
Define objectives and home-state facts
Clarify succession, asset protection and control objectives, and review the tax and trust law of the states where the family lives, since these can override Delaware advantages.
- 2
Choose trustee model
Choose between a Delaware corporate trustee, a directed structure with family advisers, or a family trust company once regulations are in place.
- 3
Draft trust and entity documents
Prepare trust instruments with adviser, protector and quiet-trust provisions, and LLC agreements with series, transfer restrictions and management rights.
- 4
Fund and document
Transfer assets with valuations, solvency affidavits for asset protection trusts and any gift tax returns, and record Delaware administration from the start.
- 5
Apply for a family trust company where relevant
Prepare the business plan, capital, insurance, Delaware office arrangements and officer appointments, then file with the State Bank Commissioner.
- 6
Administer and review
Hold committee meetings, keep trust administration in Delaware, file returns, and review structures after family events and changes in law.
Typical documents
- Passports and proof of address for settlors, advisers and family directors
- Source-of-wealth and source-of-funds evidence for assets contributed
- Trust instruments with adviser, protector and designated representative appointments
- Certificates of formation and LLC or LP agreements, including series designations
- Asset valuations and federal gift tax returns (Form 709) where gifts are made
- Solvency affidavit for transfers to an asset protection trust

Enquire with Legal WealthFrequently asked questions
Do we need to live in Delaware to use a Delaware trust?
No. Delaware law can govern a trust for non-residents if a Delaware trustee takes part in its administration. The family's home state still matters for income tax, community property and creditor issues, and some states tax trusts based on the grantor's or beneficiary's residence.
What is the new Delaware family trust company?
SB 327, signed on 13 July 2026, creates a trust company that serves only one family and its trusts, entities and charities. It is regulated by the State Bank Commissioner. Capital is generally capped at US$375,000, and the company needs insurance, a Delaware place of business, a trust officer and annual examinations. Implementing regulations are due within a year of enactment.
How long before assets in a Delaware asset protection trust are protected?
Creditors generally have four years from the transfer to bring a claim. A creditor whose claim existed at the time of transfer can instead claim within one year after discovering the transfer, if that is later. Child support and certain claims of an existing spouse are exceptions, although a spouse can now consent in writing to waive them.
Does a Delaware trust pay Delaware income tax?
Delaware does not tax income accumulated for beneficiaries who are not Delaware residents, so a trust with no Delaware beneficiaries usually pays no Delaware income tax. Federal tax still applies, and other states may tax the trust based on the grantor, trustee or beneficiaries.
Is a directed trust safe for the family's investment strategy?
Under 12 Del. C. §3313, the trust instrument can give investment decisions to an adviser, such as a family investment committee. The directed trustee follows those directions and is liable only for wilful misconduct. This lets the family office manage the portfolio while the Delaware trustee handles administration.
Should our family office itself be a Delaware entity?
Often the management company is a Delaware LLC registered to do business where the team works, but its tax and regulatory position depends on the operating state. The SEC family office rule applies regardless of the state of formation, and the operating state's securities law should also be checked.
