Overview
The Isle of Man regulates financial services through the Financial Services Act 2008 (FSA 2008) and the Regulated Activities Order 2011, which define licensable classes including investment business (Class 2), services to collective investment schemes (Class 3), corporate services (Class 4) and trust services (Class 5). Activities are regulated only when carried on by way of business, and the Financial Services (Exemptions) Regulations 2011 carve out certain arrangements. Family office-type services that fall within those exemptions do not need an FSA 2008 licence. If they are provided by way of business, they must still comply with the Anti-Money Laundering and Countering the Financing of Terrorism Code 2019, although they are not currently subject to IOMFSA AML supervision.
The IOMFSA reviewed this position in a 2024 Call for Input (CI24-01) that set out three options: keep the current treatment, register such services under the Designated Businesses (Registration and Oversight) Act 2015, or license them fully. Twelve of the seventeen respondents favoured the status quo, and in its feedback statement of 19 December 2024 the Authority confirmed that no change was proposed at that time, while noting that it would revisit the topic in its wider review of the exemptions and exclusions framework. Families should therefore expect possible future registration requirements and build AML/CFT controls into the office from the outset. Multi-family offices that act as trustee, provide corporate services or manage investments for unrelated families need the relevant IOMFSA licences.
Private trust companies are a common core. Under the 2011 Exemptions Regulations, a PTC does not need a Class 5 trust services licence if its sole purpose is to act for a specific trust or trusts, it does not otherwise offer trust services or hold itself out to the public, and its administration is carried out by a licensed person who has notified the IOMFSA in writing of the PTC's name. The PTC is typically a company owned by a purpose trust under the Purpose Trusts Act 1996, which requires an enforcer, or by a foundation. Manx trusts are governed by the Trusts Act 1995 and the Trustee Act 2001; the Trusts (Amendment) Act 2015 abolished the rule against perpetuities for new trusts and permits a sole trustee. The Foundations Act 2011, in force since 1 January 2012, offers a registered foundation with legal personality, a council of at least one member and a licensed registered agent. Investment pooling can use an exempt scheme under Schedule 3 of the Collective Investment Schemes Act 2008, limited to 49 participants and not publicly promoted, with a licensed Manx functionary.
The tax system is neutral at entity level. Companies pay 0% on most income, 10% on banking and large retail profits and 20% on Isle of Man land and property income, and there is no capital gains tax, inheritance tax or stamp duty; dividends paid by Manx companies carry no withholding tax. Groups with consolidated revenue of EUR 750 million or more fall under the Pillar Two rules the island has adopted. Resident individuals pay 10% and 21% and may elect an annual tax cap, which is £220,000 for a single person and £440,000 for a jointly assessed couple for both 2025/26 and 2026/27. The Isle of Man is in a customs union with the UK and applies VAT. Its own immigration rules apply: British and Irish citizens can live there freely within the Common Travel Area, while others need permission under the Isle of Man Immigration Rules.

Structure designs
Discretionary trust with an exempt PTC
A PTC owned by a purpose trust or foundation acts as trustee, with family members in the minority on its board and a licensed Manx trust service provider administering it under the exemption. Suits families who want involvement in trustee decisions, especially where the trust holds a family business.
Isle of Man foundation
A registered foundation holds the family's assets or the PTC shares, with a council and a licensed registered agent. Suits civil-law families and those who want an entity rather than a trust relationship at the top of the structure.
Family holding company or LLC
A 2006 Act company, 1931 Act company or limited liability company holds investments and operating subsidiaries at the 0% rate. Holding company activity brings economic substance obligations, so the board must genuinely direct the company from the island.
Exempt scheme for family investment
Maximum 49 participants
A Manx unit trust, open-ended investment company or limited partnership for family members and close co-investors, not publicly promoted, with a licensed Manx manager or administrator. The family can retain influence through an investment adviser role.
Exempt single-family office company
An office company coordinating the family's affairs within the exemptions, with AML/CFT controls built in from the start in anticipation of possible registration under the Designated Businesses Act after the IOMFSA's review of its exemptions.
Island structure with a resident principal
Tax cap £220,000 a year per person
The principal relocates and elects the income tax cap, while the trust, PTC and investment vehicles are run on the island. Immigration permission is needed for those who are not British or Irish citizens, and former residence-country rules must be reviewed.
Step-by-step process
- 1
Family and tax mapping
Establish the family tree, assets, objectives and residence of each member. For UK-connected families, the residence-based inheritance tax rules in force since 6 April 2025 and the four-year FIG regime shape how a Manx trust should be settled.
- 2
Perimeter analysis
Classify each entity's activities against the Regulated Activities Order and the 2011 Exemptions Regulations, confirm the PTC exemption and decide whether any licensed services are needed.
- 3
Governance design
Draft the trust deed, purpose trust, foundation instrument and rules, PTC articles, letters of wishes and enforcer or protector terms, alongside a family constitution and investment committee charter.
- 4
KYC and formation
The licensed trust service provider completes due diligence and source-of-wealth checks, incorporates the PTC and companies or registers the foundation, notifies the IOMFSA of the PTC and files beneficial ownership details through the nominated officer.
- 5
Banking and investment set-up
Open bank and custody accounts, complete CRS and FATCA classifications and, where useful, establish an exempt scheme with a licensed functionary.
- 6
Office, people and relocation
For a standalone office, arrange premises, staff and any work permits; for a relocating principal, obtain immigration permission where needed, register with the Income Tax Division and make the tax cap election.
- 7
Monitoring and review
Hold board meetings on island, document substance, keep beneficial ownership information current, and follow the IOMFSA's review of exemptions and the legitimate-interest access proposals.
Typical documents
- Certified passports and proof of address for the settlor or founder, PTC directors, council members, enforcers and adult beneficiaries
- Source-of-wealth narrative with evidence such as sale agreements, audited accounts and inheritance documents
- Source-of-funds evidence and bank reference letters for the assets to be transferred
- Structure chart showing ownership and control up to each beneficial owner
- Residence-country tax advice for the settlor and principal beneficiaries
- Draft trust deed, purpose trust deed, foundation instrument and rules, and PTC memorandum and articles
- Letters of wishes, family constitution and investment committee terms of reference
- CRS self-certifications and FATCA declarations
- Written notification of the PTC's name from the licensed administrator to the IOMFSA
- For an exempt scheme: constitutional and offering documents, participant records and the functionary's appointment

Our approach is discreet and compliance-first, with long-term continuity at its centre.
Enquire with Legal WealthFrequently asked questions
Does a single-family office in the Isle of Man need an IOMFSA licence?
Not if its services fall within the Financial Services (Exemptions) Regulations 2011. Such services are exempt from FSA 2008 licensing, but must comply with the AML/CFT Code 2019 if provided by way of business. The IOMFSA confirmed in December 2024 that no change was proposed at that time but will revisit the issue, so possible future registration should be planned for.
What are the conditions for the PTC exemption?
The PTC's sole purpose must be to act for a specific trust or trusts, it must not otherwise provide trust services or hold itself out to the public, its administration must be carried out by an IOMFSA-licensed person, and that person must notify the IOMFSA of the PTC's name in writing.
How long can a Manx trust last?
The Trusts (Amendment) Act 2015 abolished the rule against perpetuities for trusts created after it took effect, so a new Manx trust can continue indefinitely unless its deed sets a fixed period. Earlier trusts keep their original perpetuity period.
How does the Isle of Man tax cap work?
A resident individual pays income tax at 10% and 21% but may elect to cap total income tax at £220,000 a year, or £440,000 for a jointly assessed couple, for 2025/26 and 2026/27. There is no capital gains or inheritance tax. The cap is an election made under the island's income tax rules and is reviewed in each annual budget.
Is the beneficial ownership database public?
No. It is available to competent authorities and, since 31 December 2024, to certain obliged entities for customer due diligence. Changes in force from 25 May 2026 lowered the reporting threshold to 25% or more and added senior managing official reporting. The government consulted on legitimate-interest access from 5 May to 30 June 2026, with a summary of responses expected by the end of 2026.
When does the Isle of Man suit a family better than Jersey or Guernsey?
It often suits families who value the island's personal tax cap, a currently lighter approach to family office-type services and its flexible trust and foundation laws, or who already work with Manx trustees. Jersey and Guernsey have larger fiduciary and funds industries and, in Guernsey's case, mandatory GFSC licensing or permission for PTCs. Many families compare all three before deciding.
