Setting up a money services business in Montana

Montana is often described as the US state without a money transmitter licence, and that is accurate as far as it goes. A Montana company that transmits money or deals in convertible virtual currency still has to register with FinCEN and run a full Bank Secrecy Act programme, and serving customers in other states usually means obtaining their licences too.

Overview

The Montana Division of Banking and Financial Institutions states plainly that it does not oversee money transmitters, and that money transmission is not even defined in Montana law. That makes Montana the only US state with no money transmitter licensing regime. It is the source of the popular term 'Montana MSB licence', but the phrase is a shorthand: there is no Montana licence to obtain. What a business actually holds is a Montana entity registered as a money services business with FinCEN.

Federal registration is not optional. Under the Bank Secrecy Act, money transmitters, currency dealers and exchangers, check cashers and issuers or sellers of money orders and prepaid access must register with FinCEN using Form 107 within 180 days of being established, renew every two years by 31 December, and re-register after certain events such as a transfer of more than 10% of voting power or equity, or a more than 50% increase in agents. FinCEN treats exchangers and administrators of convertible virtual currency as money transmitters, so most crypto exchange and custody-to-transfer models fall within the regime. Failure to register can attract civil penalties of up to US$5,000 per violation for each day it continues, and criminal penalties.

Registration brings substantive obligations: a written, risk-based AML programme with a designated compliance officer, training and independent testing; currency transaction reports for cash over US$10,000; suspicious activity reports; recordkeeping and travel-rule information for funds transfers of US$3,000 or more; and OFAC sanctions screening. The supporting records, including the list of agents, must be kept for five years at a location in the United States.

The limitation is geographic. The Montana position covers activity with Montana customers only. A company that serves residents of other states generally needs each state's money transmitter licence, and 31 states have now adopted the Money Transmission Modernization Act in full or in part. A Montana MSB is therefore best understood as a compliant federal starting point, a testing ground, or a base for business-to-business or non-US-facing models, rather than a nationwide authorisation.

Frequently asked questions

Is there really no money transmitter licence in Montana?

Correct. The Montana Division of Banking and Financial Institutions states that it does not regulate money transmitters. Other Montana licences may still apply if you lend, collect consumer debt or provide escrow.

Can a Montana MSB serve customers across the US?

Not on the strength of Montana alone. Most states require their own money transmitter licence for activity with their residents, so nationwide activity needs multistate licensing or a licensed partner.

Is FinCEN registration a licence?

No. It is a federal registration that brings Bank Secrecy Act obligations. It does not replace state licences and is not an endorsement by FinCEN.

Do crypto businesses qualify?

Exchangers and administrators of convertible virtual currency are generally money transmitters for FinCEN purposes and must register, run an AML programme and apply the funds-transfer recordkeeping rules.

Can non-US owners set up a Montana MSB?

Yes, there is no nationality restriction on ownership, but owners and managers will be identified in banking and compliance due diligence, and records must be kept at a US location.
