Structuring utility token offers under MiCA

Offering a utility token to the public in the EU, or seeking its admission to trading, is governed by Title II of MiCA. Depending on the token's design, the offer may be exempt, or it may require a crypto-asset white paper notified to the home regulator at least 20 working days before publication. We structure the token, the offer and the documentation so that the project launches on a defensible legal footing.

Overview

MiCA treats utility tokens – crypto-assets intended only to give access to a good or service supplied by the issuer – as a sub-category of the 'other crypto-assets' regulated by Title II. Title II also covers any crypto-asset that is neither an asset-referenced token nor an e-money token, nor a financial instrument or other asset excluded under Article 2(4). The starting point for every project is therefore classification: if a token behaves like a transferable security, a deposit or a stable-value instrument, a different regime applies.

Article 4 sets out the exemptions. Title II does not apply at all to a utility token giving access to a good or service that already exists or is in operation, to tokens offered free of charge, to tokens created automatically as rewards for maintaining a ledger or validating transactions, or to tokens usable only within a limited merchant network. Separately, the white paper and marketing obligations do not apply to offers made to fewer than 150 persons per Member State, offers whose total consideration does not exceed EUR 1,000,000 over 12 months, or offers made solely to qualified investors. None of these exemptions survives once the offeror signals an intention to seek admission to trading.

Where no exemption applies, the offeror prepares a white paper in the format prescribed by Implementing Regulation (EU) 2024/2984 and notifies it, with an explanation of why the token is not an excluded asset, an e-money token or an asset-referenced token. Since 23 December 2025, white papers must be submitted in XHTML with Inline XBRL tagging based on ESMA's taxonomy. The white paper is not approved, must say so, and is published on the offeror's website before the offer begins; the regulator forwards it to ESMA's register.

Utility tokens for a service not yet operating may be offered for no more than 12 months from publication of the white paper. Offerors must act honestly, fairly and professionally, manage conflicts of interest, and – for time-limited offers – safeguard the funds raised. Offerors and their management bodies are liable to holders for incomplete, unfair or misleading information in the white paper.

Key benefits

  • Clear classification analysis before any public communication
  • Notification rather than approval, so launch timetables are predictable
  • Single notification usable across the EU through host-state passporting
  • Use of available exemptions where the project genuinely qualifies
  • Reduced liability exposure through accurate, balanced disclosure
  • A documentation base that supports later admission to trading on CASP platforms
03

Requirements

  • Offeror must be a legal person; non-EU offerors notify the regulator of the Member State where they intend to offer first
  • Classification explanation showing the token is not an excluded asset, e-money token or asset-referenced token
  • White paper with mandatory content, a summary and the statement that it has not been approved by any competent authority
  • Management body statement confirming the white paper is fair, clear and not misleading
  • Disclosure of principal adverse climate and environmental impacts of the consensus mechanism
  • Marketing communications consistent with the white paper, clearly identifiable and notified on request
  • Arrangements to safeguard funds for time-limited offers
  • Retail right of withdrawal and refund mechanics
  • AML/KYC procedures for token sale participants where applicable

Licence options & capital

Utility token for an existing service

Where the token provides access to a good or service that exists or is in operation, Title II does not apply. Exemption is lost if admission to trading is sought.

Small or targeted offer

Up to EUR 1,000,000 over 12 months

Offers below the value threshold, to fewer than 150 persons per Member State, or solely to qualified investors need no white paper, though the offeror must still be a legal person and meet general conduct duties.

Utility token for a future service

White paper required; the public offer may not exceed 12 months from publication of the white paper.

Public offer with white paper

Full Title II route for tokens not covered by an exemption: notification, publication, marketing rules, withdrawal rights and offeror conduct duties.

Admission to trading

Where admission to a crypto-asset trading platform is sought, a white paper is required from the person seeking admission or, in agreed cases, the platform operator.

Step-by-step process

  1. 1

    Token and project review

Analyse rights, economics, transferability and roadmap to classify the token and identify any exemption.

  2. 2

    Offer structuring

Choose the offering entity, target Member States, investor categories, offer period and fund-safeguarding arrangements.

  3. 3

    White paper drafting

Prepare the white paper, summary and sustainability disclosures, and convert it into the required iXBRL format.

  4. 4

    Notification

Notify the home regulator at least 20 working days before publication, with the classification explanation and list of host states.

  5. 5

    Publication and launch

Publish the white paper on the offeror's website, align marketing communications and open the offer with withdrawal-right mechanics in place.

  6. 6

    Post-offer duties

Publish offer results where required, update the white paper for material changes and maintain records.

Frequently asked questions

Does a utility token white paper need regulatory approval?

No. It is notified to the home regulator at least 20 working days before publication. Regulators may not require prior approval, but they can suspend or prohibit an offer that breaches MiCA.

When is a utility token fully exempt?

When it provides access to a good or service that already exists or is in operation, provided the offeror does not signal an intention to seek admission to trading.

What format must the white paper use?

Since 23 December 2025, white papers must be prepared in XHTML with Inline XBRL tagging using ESMA's MiCA taxonomy, as set out in Implementing Regulation (EU) 2024/2984.

Do buyers have a right of withdrawal?

Retail holders who buy directly from the offeror, or from a CASP placing on its behalf, may withdraw within 14 calendar days without cost, unless the token was already admitted to trading or a time-limited subscription period has ended.

Who is liable for the white paper?

The offeror and its management body are liable to holders for incomplete, unfair or misleading information. The summary alone does not create liability unless it is misleading or inconsistent with the rest of the white paper.

Is a white paper notification fee payable?

This depends on the home Member State. In Malta, for example, the notification fee for a crypto-asset other than an asset-referenced or e-money token is EUR 2,500.
