Overview
Bermuda has served international families since the mid-twentieth century and remains one of the leading jurisdictions for trusts, captive insurance and reinsurance. Its attractions for a family office are a sophisticated court system with appeals to the Privy Council, trust legislation that has been modernised repeatedly, an experienced local professional community, a regulator with a strong international standing, and a location a short flight from New York, Boston and Toronto. The Government has published a family office framework that maps the vehicles available and promises concierge-style processing through the Bermuda Business Development Agency for family office registrations, work permits and BMA applications.
Trusts are the centre of most Bermuda family structures. The Trustee Act 1975 gives broad investment powers, while the Trusts (Special Provisions) Act 1989 permits non-charitable purpose trusts, protects trusts from foreign forced heirship and matrimonial claims through firewall provisions, and allows settlors to reserve powers without invalidating the trust. The Perpetuities and Accumulations Act 2009 removed the perpetuity period for trusts created after it came into force, other than for Bermuda land, which is limited to 100 years, so dynasty trusts can run indefinitely. A common pattern is a purpose trust that owns a private trust company, which in turn acts as trustee of the family's discretionary trusts, with family members and trusted advisers on the PTC board.
Trust business by way of business requires a licence under the Trusts (Regulation of Trust Business) Act 2001. A PTC that provides trustee services only to the trusts specified in its memorandum of association, or approved by the Minister, is exempt under section 3 of the Exemption Order. The directors must notify the BMA, and the PTC must file an annual declaration by 31 March each year confirming that it still qualifies; if its business changes, it must re-notify or apply for a licence. Investment activity is governed by the Investment Business Act 2003 as amended with effect from 27 July 2022. Persons carrying on investment business in or from Bermuda need a standard or test licence unless an exclusion applies or they fall within a registration category: Class B registered persons serve only high-income, high-net-worth or sophisticated investors and funds, or fewer than 20 persons without offering services to the public, and must keep a principal place of business in Bermuda, file annual returns and appoint an auditor. A family office that manages only its own group's assets will often rely on exclusions; one that advises individual family members for remuneration should assess Class B status, and an office serving unrelated families needs a licence.
Bermuda's transparency regime has strengthened significantly. Under the Beneficial Ownership Act 2025, amended in September 2026, Bermuda legal persons must hold beneficial ownership information and file it with the Registrar of Companies, which now keeps the central register in place of the BMA. The register is not public: access is limited to competent authorities, obliged entities and persons with a legitimate interest in combating financial crime. Entities owned through a licensed trustee or through a PTC with a licensed corporate service provider or trustee appointed for compliance can be exempt from filing but must still keep the information and appoint a BMA-regulated contact person. Bermuda applies CRS and FATCA, the Economic Substance Act 2018 for relevant activities, and AML/CFT under the Proceeds of Crime Act 1997 and related regulations. For families who want to live on the island, the Economic Investment Residential Certificate grants residence to those making a qualifying investment of at least BMD 2.5 million.

Structure designs
Purpose trust owning an exempt PTC
A non-charitable purpose trust holds the shares of a private trust company that acts as trustee of the family's trusts. Suits families wanting family members and advisers on the trustee board while ownership of the PTC stays outside any individual's estate.
Discretionary or dynasty trust with a licensed trustee
A Bermuda trust with no perpetuity period, administered by an unlimited-licence trust company. Suits families seeking continuity across generations, professional trusteeship and protection from foreign heirship claims.
Exempted company or LLC holding vehicle
A Companies Act 1981 company or an LLC under the LLC Act 2016 holding portfolios, operating businesses or real estate beneath the trust. Suits families needing clear ownership, flexible governance and, for LLCs, possible US tax classification choices.
Segregated accounts company for family branches
A SAC or incorporated segregated accounts company separating assets and liabilities by branch or strategy within one entity. Suits large families wanting ring-fenced pools with shared administration.
BMA-licensed or Class B family office
Limited trust licence: up to USD 30 million trust assets
An office registered as a Class B person or licensed under the Investment Business Act, and if needed a trust licence, to serve several families or provide remunerated advice. Suits multi-family offices and families sharing a platform with unrelated co-investors.
Private fund for co-investment
A private fund under the Investment Funds Act 2006, often as an exempted limited partnership, for family pooling and club deals. Suits families co-investing with partners, subject to BMA registration and fund rules.
Step-by-step process
- 1
Objectives and tax residence review
Clarify the family's residence, US or other tax connections, succession aims and the services the office will provide, as these drive trust and entity design.
- 2
Structure and regulatory design
Select trust type, PTC ownership, holding vehicles and the investment business position (exclusion, Class B or licence), and confirm economic substance implications.
- 3
KYC and incorporation
Provide KYC and source-of-wealth evidence to the corporate service provider, incorporate the PTC and holding entities with the Registrar of Companies and file beneficial ownership information.
- 4
BMA notifications or applications
File the PTC exemption notification, any Class B registration or licence application, and fund registrations where relevant.
- 5
Trust settlement and funding
Execute trust deeds and letters of wishes, appoint the protector or enforcer, open bank and custody accounts and transfer assets.
- 6
Ongoing governance
Hold board meetings in Bermuda where substance requires it, file annual PTC declarations, economic substance declarations, CRS/FATCA reports and review the structure as family circumstances change.
Typical documents
- Certified passports and proof of address for settlors, beneficiaries, directors and protectors
- Source-of-wealth and source-of-funds statement with supporting documents
- Draft trust deeds, purpose trust deed and letters of wishes
- PTC memorandum of association naming the trusts it may serve, bye-laws and registers of directors and members
- Cover letter to the BMA describing the structure, settlor and beneficiaries
- Beneficial ownership information for filing with the Registrar of Companies

Enquire with Legal WealthFrequently asked questions
Does a Bermuda private trust company need a licence?
Not if it acts only as trustee of the trusts specified in its memorandum of association or approved by the Minister. It must notify the BMA and file an annual declaration by 31 March confirming it still qualifies. If it starts acting for other trusts, it must re-notify or apply for a trust licence.
Is a Bermuda family office regulated as an investment business?
It depends on its activities. Managing only the family group's own assets often falls within Investment Business Act exclusions. Advising individual family members or co-investors may require Class B registration, and serving unrelated families by way of business requires a BMA licence.
Does Bermuda have foundations?
No. Bermuda does not have a foundations statute. Families use purpose trusts, PTCs, companies and LLCs, and segregated accounts companies to achieve similar results.
Does the new 15% corporate income tax affect family offices?
Usually not. The Corporate Income Tax Act 2023 applies from 2025 to Bermuda constituent entities of multinational groups with annual revenue of EUR 750 million or more. A family's investment structure could be in scope only if it consolidates operating businesses reaching that size, so this should be checked.
Is the Bermuda beneficial ownership register public?
No. The Registrar of Companies holds the central register, and access is limited to competent authorities, obliged entities and applicants showing a legitimate interest connected to combating financial crime. Limited information may be available to journalists, civil society and academics under the 2026 amendments.
Can the family live in Bermuda?
Yes, through the Economic Investment Residential Certificate. The applicant must make a qualifying investment of at least BMD 2.5 million, such as Bermuda real estate or a Bermuda business, maintain it for five years and spend at least 90 days a year in Bermuda. A spouse and dependent children can be included, without the right to work.
