Overview
Under the Securities Act 2007, a person carrying on the business of dealing in securities in or from Seychelles must hold a Securities Dealer licence. The definition of securities is broad enough to capture the derivatives and contracts for difference typically offered by forex brokers, which is why the licence is the standard route for international FX and CFD brokerage in Seychelles. The FSA's application guidelines were updated most recently in March 2026.
The minimum paid-up capital is USD 100,000. The FSA charges a USD 3,000 application fee, USD 500 for each representative application and an annual licence fee of USD 2,500; late renewal adds one-twelfth of the annual fee for each month or part month the fee remains unpaid. The FSA's service standard is 30 working days from receipt of a complete application; incomplete applications are returned, and the applicant has three months to resubmit before the application lapses.
Substance is now central to the regime. The applicant must have a physical place of business in Seychelles, evidenced by a title deed or lease, and meeting minimum standards such as furnishings, a local phone line, internet access and record storage. The company needs at least two fit and proper natural-person directors, at least one licensed representative and a compliance officer appointed under the Financial Services Authority Act 2013. An auditor must be appointed within 30 days of licensing.
Seychelles also offers a concessionary tax rate of 1.5% on assessable gross income for securities dealers that carry out substantial activity in Seychelles, meaning core income-generating activities conducted from a local office with adequate staff and expenditure. Front-office functions may be located abroad where middle and back-office functions are performed in Seychelles.
