Overview
Labuan does not have a crypto-specific statute. Instead, the Labuan FSA licenses digital asset businesses under the category of the Labuan Financial Services and Securities Act 2010 that matches the activity: a Labuan exchange licence for platforms that operate a market in digital assets, a securities licence for dealing, broking and advisory activity, a fund manager licence for portfolio management, and a credit token business licence for certain payment and stored-value models. The Islamic Financial Services and Securities Act 2010 provides parallel Shariah-compliant categories.
Since 1 January 2025, Labuan financial institutions that provide digital financial services, including dealing in digital assets, must follow the Guidelines on Market Conduct for Labuan Digital Financial Intermediaries. These cover fair dealing, protection of client information, segregation of client money with withdrawals completed within three working days and at least monthly reconciliation, risk disclosure, conflicts of interest, market abuse surveillance, written client terms, advertising and free complaints handling. The guidelines also restrict proprietary trading and proprietary market-making in digital assets.
Digital intermediaries must also meet Labuan FSA's Guidelines on Digital Governance Framework (in effect since 1 January 2022), technology management and business continuity rules, AML/CFT obligations and fit and proper standards for directors and key officers. Tokenised securities issued from Labuan follow the Guidelines on Labuan Securities Token Offering issued in October 2023.
Labuan suits Asia-focused groups seeking a recognised Malaysian-federal framework with a competitive tax regime for qualifying Labuan entities. Licences do not permit dealing with Malaysian residents in ringgit without separate onshore approval, and Labuan FSA revised its fee regulations in 2026, so costs should be confirmed at the time of application.

Enquire with Legal WealthFrequently asked questions
Is there a specific crypto licence in Labuan?
No. Digital asset businesses are licensed under the existing LFSSA categories, such as exchange, securities, fund manager or credit token business, with specific conduct rules for digital intermediaries.
What capital is required?
It depends on the licence category. A Labuan securities licensee needs RM150,000 paid-up capital and professional indemnity cover of at least RM1 million; other categories have their own thresholds.
Can a Labuan licensee serve Malaysian residents?
Labuan entities generally deal with non-residents and in currencies other than ringgit. Serving the Malaysian onshore market requires separate approval from the onshore authorities.
Are proprietary trading and market-making allowed?
The market conduct guidelines for digital financial intermediaries restrict proprietary trading and proprietary market-making in digital assets.
Can we issue tokenised securities from Labuan?
Yes. The Guidelines on Labuan Securities Token Offering, issued in October 2023, set the framework for security token offerings.
