Overview
In Labuan, a business that brings together counterparties in the money or foreign exchange markets in return for brokerage or commission is carrying on money broking business and must be licensed by Labuan FSA. The governing guidelines, issued on 9 September 2024 and effective immediately, replaced the 2017 version and apply to licensees under sections 90 and 92 of the Labuan Financial Services and Securities Act 2010 and the Islamic equivalent. Existing approvals remain valid but must meet the new requirements.
The most important feature for prospective brokers is the business model. A Labuan money broker acts as an intermediary and may not deal as principal, take proprietary positions or speculate. Contracts for difference are permitted only where the underlying is within the money and foreign exchange markets. The guidelines also allow, as an additional activity, the facilitation of trading in digital assets that do not have the characteristics of securities, subject to higher capital and a 1:1 leverage limit.
The 2024 guidelines raised the minimum paid-up capital to RM 1 million, or RM 1.5 million where digital asset activities are included, compared with RM 300,000 under the 2015 capital directive. The capital must be deposited with a regulated bank in Labuan or Malaysia and remain unimpaired by losses. Labuan FSA expects applicants to have a credible track record in money broking, typically at least three years, and requires all counterparties such as principal brokers, custodians, liquidity providers and payment providers to be regulated.
Conduct requirements now include segregation of client money with monthly reconciliation, withdrawal of client funds within three working days of a request, monthly performance updates to clients, prompt reporting of technology incidents and AML/CFT compliance under Labuan FSA's guidelines. Brokers wishing to deal as principal in Labuan would need a different licence, such as a Labuan investment bank licence with a minimum working fund of RM 10 million.
